01 Introduction & Agreement

By accessing the Trend Stream website or engaging our digital marketing services, you ("Client," "User," or "You") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our website or engage our services.

These Terms constitute a legally binding agreement between you and Trend Stream ("Company," "We," or "Us"), governed by the laws of the Kingdom of Saudi Arabia. We may update these Terms periodically; continued use of our services signifies your acceptance of the updated Terms.

02 Definitions & Interpretation

For the purposes of these Terms, the following definitions apply:

• "Services": Refers to the AI-powered digital marketing solutions provided by Trend Stream, including but not limited to SEO, AEO/GEO, PPC advertising, social media management, web development, and content creation.
• "Deliverables": Any content, code, graphics, reports, or marketing assets created by Trend Stream for the Client.
• "Client Materials": Any data, branding, logos, text, or access credentials provided by the Client to Trend Stream to facilitate the Services.
• "Campaigns": Specific marketing initiatives executed on platforms like Google Ads, Meta (Facebook/Instagram), TikTok, or Snapchat.

03 Eligibility & Authority

By engaging our Services, you represent and warrant that you are at least 18 years old and possess the legal authority to enter into this agreement on behalf of yourself or your company. You confirm that all information provided during registration and onboarding is accurate and complete.

If you are entering into this agreement on behalf of a corporate entity, you affirm that you have the necessary corporate authority (such as a director, partner, or authorized officer) to bind the entity to these Terms and Conditions.

04 Engagement of Services

Trend Stream provides AI-enhanced digital marketing services designed to increase organic traffic, drive conversions, and build brand authority. The exact scope, deliverables, timelines, and pricing for any specific project will be outlined in a separate Service Agreement, Statement of Work (SOW), or signed proposal.

We reserve the right to adjust strategies, tools, and tactics as deemed necessary to optimize campaign performance, provided such changes align with the overarching goals defined in the SOW.

05 Client Obligations & Access

To ensure the successful execution of our Services, the Client agrees to the following responsibilities:

• Timely Provision of Materials: Providing all necessary Client Materials (logos, brand guidelines, access to existing platforms) within agreed-upon timeframes.
• Approvals: Reviewing and approving deliverables, ad copies, and campaign strategies promptly to avoid project delays.
• Accuracy: Ensuring all information provided to Trend Stream is accurate, legal, and does not infringe on third-party rights.
• Compliance: Ensuring all marketing materials comply with Saudi Arabian regulations, including PDPL and advertising standards set by the General Authority for Audiovisual Media (GCAM).

06 Digital Marketing Campaigns

When executing digital marketing campaigns, the Client acknowledges that ad spend (the budget paid directly to platforms like Google or Meta) is separate from Trend Stream’s management fees. The Client is solely responsible for funding all media ad spend.

While we utilize data-driven strategies to maximize ROI, digital marketing is dynamic and influenced by external factors (e.g., algorithm updates, competitor actions, market trends). Therefore, we do not guarantee specific quantitative results, such as exact rankings on search engines, a guaranteed number of leads, or fixed Return on Ad Spend (ROAS).

07 AI-Driven Processes & Data

As an agency leveraging Artificial Intelligence, we use advanced AI models to generate content variations, predict search trends, and optimize ad bidding. The Client acknowledges that AI-generated outputs may occasionally contain inaccuracies or require human refinement.

Trend Stream ensures human oversight over all AI-generated materials before publishing. We do not guarantee that AI tools will be error-free or yield specific conversion metrics, as AI performance is inherently probabilistic. Client data processed through AI tools is handled in compliance with our Privacy Policy.

08 Intellectual Property Rights

Upon receipt of full payment for the Services, all intellectual property rights in the final Deliverables (such as website code, written content, and graphic designs) are transferred to the Client.

However, Trend Stream retains ownership of all proprietary tools, AI algorithms, templates, and underlying methodologies used to create the Deliverables. We reserve the right to use the Deliverables for portfolio展示 and case study purposes unless explicitly prohibited by a Non-Disclosure Agreement (NDA).

09 Third-Party Platforms & Tools

Our Services frequently involve integrating with third-party platforms such as Google, Meta, TikTok, Shopify, and WordPress. Trend Stream is not responsible for outages, policy changes, data loss, or account suspensions caused by these third-party platforms.

If a third-party platform suspends the Client’s account due to policy violations related to the Client’s products or provided materials, the Client remains responsible for all fees owed to Trend Stream for the work completed up to that point.

10 Fees, Invoicing & Taxes

Unless otherwise agreed in a specific Service Agreement, our standard billing terms are as follows:

• Retainer Fees: Monthly retainer fees are due in advance on the 1st of each month.
• Ad Spend: The Client is solely responsible for funding all media ad spend (e.g., Google Ads, Meta Ads). Trend Stream charges a management fee, separate from the ad spend.
• Late Payments: Invoices not paid within 7 days of the due date may result in the suspension of Services. A late fee of 2% per month may be applied to overdue balances.
• Taxes: All fees are subject to applicable Value Added Tax (VAT) as per Saudi Arabian law.

11 Confidentiality & Data Protection

Both Trend Stream and the Client agree to keep confidential all non-public information shared during the course of the business relationship. This includes business strategies, financial data, customer lists, and proprietary AI algorithms.

This confidentiality obligation survives the termination of any Service Agreement. We handle all personal data in strict accordance with the Kingdom of Saudi Arabia's Personal Data Protection Law (PDPL) and our documented Privacy Policy.

12 Warranties & Representations

Trend Stream strives to deliver high-quality, effective digital marketing services. However, the Client acknowledges that digital marketing is dynamic and influenced by external factors (e.g., Google algorithm updates, competitor actions, market trends).

We do not guarantee specific results—such as exact rankings on search engines, a guaranteed number of leads, or fixed ROI. Our Services are provided on an "as is" basis, and we disclaim all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

13 Limitation of Liability

To the maximum extent permitted by Saudi Arabian law, Trend Stream shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Services provided.

Furthermore, Trend Stream’s total aggregate liability for any claims arising from these Terms or the provision of Services shall not exceed the total amount paid by the Client to Trend Stream for the specific Services giving rise to the claim during the three (3) months preceding the event.

14 Indemnification

The Client agrees to indemnify, defend, and hold harmless Trend Stream, its employees, and its partners from any claims, damages, losses, or legal fees arising from:

• The Client’s breach of these Terms.
• The Client’s provision of inaccurate, illegal, or infringing Client Materials.
• Claims related to the Client’s products, services, or website content.
• Violations of third-party intellectual property rights or Saudi Arabian regulations.

15 Term, Cancellation & Suspension

These Terms remain in effect for the duration of the business relationship. Either party may terminate a Service Agreement by providing 30 days' written notice. Upon termination:

• The Client must pay for all Services rendered up to the termination date.
• Trend Stream will transfer ownership of relevant accounts and final Deliverables, provided all outstanding invoices are settled.
• Kill Fees: If a project is canceled midway through a milestone, a kill fee equivalent to 50% of the remaining milestone value may apply to cover allocated resources.
• Suspension: We reserve the right to suspend services immediately in the event of non-payment or breach of Terms.

16 Dispute Resolution & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or the Services provided shall first be addressed through good-faith negotiations between the parties.

If the dispute cannot be resolved amicably within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia, or resolved through arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).

17 Amendments to Conditions

Trend Stream reserves the right to modify these Terms and Conditions at any time. We will notify Clients of material changes via email or by posting a prominent notice on our website. Continued use of our Services after such modifications constitutes your acceptance of the revised Terms.
